Over recent months, the Board of Northern Star Resources Ltd (ASX: NST) advised the market of the appointment of new independent directors, Jeff Quartermaine and Terry Bowen. These appointments were made as part of the Board’s succession planning process.
On 12 August, Elliott Investment Management L.P. released the names of six additional candidates whom it believed would enhance the Board. The Board undertook at that time to evaluate Elliott’s recommended candidates in accordance with its normal processes.
As a result of that evaluation and after constructive discussions with Elliott Investment Management L.P., Northern Star is pleased to announce the appointment of Mark Cutifani and Peter Rozenauers as independent non-executive directors with effect from 1 October 2026.
The Board will also recommend that, along with the re-appointment of Jeff Quartermaine, Terry Bowen and Sally Langer, shareholders re-appoint Mr Cutifani and Mr Rozenauers at the Company’s Annual General Meeting on 18 November 2026. Following their appointment, Mr Cutifani and Mr Rozenauers will join the previously announced subcommittee chaired by Mr Quartermaine.
Mr Cutifani’s career spans almost five decades in mining and 40 years in senior executive and operational roles across multiple jurisdictions including Australia, North and South America and Africa.
Mr Cutifani served as CEO of Anglo American for more than nine years during which time he led significant restructuring and performance improvements across the group’s global operations. He has very deep gold sector experience including through his role as CEO of AngloGold Ashanti, which he held for more than five years prior to taking the role of CEO of Anglo American. Mr Cutifani holds a Bachelor of Engineering (Honours) degree from the University of Wollongong, was awarded the AusIMM’s Institute Medal in 2022 and was appointed a Commander of the Order of the British Empire (CBE) in the 2024 UK King’s New Year’s Honours List for contributions to global mining investment.
Mr Rozenauers, who is based in Sydney, is a mining engineer with 34 years’ experience in natural resources investment management and trading. He is the immediate past Operating Partner and Managing Partner of Orion Resource Partners, having retired from Orion in June 2026. Mr Rozenauers remains a non-executive member of the investment committee at Orion Mine Finance and Orion Industrial Ventures and is a non-executive director of Nasdaq-listed Uranium Royalty Corporation.

Mr Rozenauers holds a Bachelor of Mining Engineering with First Class Honours from the University of New South Wales and a Master of Business Administration in Applied Finance from the University of Technology Sydney.
Commenting on the new Board appointments, Northern Star Resources chairman Michael Chaney said:
“We are very pleased that Mark and Peter have agreed to join our Board and I have no doubt that they will make a great contribution as we transition to new leadership under Suresh Vadnagra.
“With Mark and Peter’s appointment and the recent appointments of Jeff Quartermaine and Terry Bowen, we will have a Board with the mix of skills and experience needed to work with our new senior leadership to unlock the full potential of Northern Star’s assets.”
Mark Cutifani added:
“I’m delighted to be joining the board of Northern Star and to have the chance to work with the Board and Suresh. Gold mining has been a huge part of my life and it’s great to be back in the sector. As Australia’s leading listed gold producer, Northern Star has an enviable portfolio of assets and, at a personal level, it’s something of a homecoming given I was the inaugural General Manager for the establishment of the Kalgoorlie Superpit way back in 1989.”
Peter Rozenauers added:
‘It’s an honour to join the board and I’m excited about what the Company has ahead of it under the new leadership. I’m very pleased to be joining at a time when the full potential of KCGM is being delivered through commissioning of the new Fimiston Mill and to have the opportunity to contribute to the successful development of the new Hemi Project.”
John Pike, Partner at Elliott Investment Management L.P., said:
“As one of Northern Star’s largest shareholders, we are encouraged by Mark’s and Peter’s appointments to the Board, joining Jeff and Terry. We believe their highly relevant and complementary skills can help Northern Star realise the full potential of its world-class gold mining portfolio. Elliott remains committed to working constructively with Northern Star to help the Company deliver the outcome its shareholders deserve.”
